- MineLife operates four core platform services: a Products & Services Marketplace, a Jobs Platform, a Website Builder, and Project Listings & Investor Discovery services.
- MineLife provides technology infrastructure only and is not a party to transactions, hiring arrangements, financing discussions, or project negotiations between users.
- Payments are processed through third-party payment providers. MineLife does not hold user funds.
- Applicable platform fees are generally non-refundable except where required by law or expressly approved by MineLife.
- Deposit transactions and final balance payments are separate payment events, and a transaction is considered complete only when fully paid through MineLife.
- Website Builder plans, including Bold Venture and California Chrome, are subscription-based services and are separate from marketplace transaction fees.
- Project listings are informational and discovery-based only. MineLife does not broker project sales, verify project validity, or guarantee financing.
- MineLife may suspend accounts, restrict access, delay payouts, freeze earnings, remove content, or take other protective actions where fraud, abuse, legal risk, or policy violations are suspected.
- Referral programs, credit programs, and Network Earnings are governed by separate terms.
- Disputes are subject to binding arbitration, except where non-waivable local law requires otherwise.

1. About MineLife
MineLife LLC (“MineLife,” “we,” “us,” or “our”) operates a digital platform designed for the mining, metals, exploration, natural resources, and related industrial sectors.
MineLife offers technology tools that help users discover opportunities, present companies and projects, hire professionals, sell products and services, and communicate within a specialized industry network.
MineLife does not become a buyer, seller, employer, lender, investment intermediary, broker, escrow agent, or contracting party merely because users connect, communicate, or transact through the platform.
2. Platform Services Overview
MineLife currently includes four primary service pillars. These pillars may evolve over time, and MineLife may add, remove, or modify features, pricing, and access rules at its discretion.
2.1 Products & Services Marketplace
The Products & Services Marketplace allows users and companies to list, market, inquire about, buy, and sell products, equipment, services, digital items, and related offerings.
2.2 Jobs Platform
The Jobs Platform allows users to post opportunities, apply for opportunities, enter into professional engagements, and process certain work-related payments through MineLife tools where available.
2.3 Website Builder
The Website Builder allows users and companies to create and maintain digital company pages or websites hosted through MineLife infrastructure, including paid plans such as Bold Venture and California Chrome.
2.4 Project Listings & Investor Discovery
MineLife also enables exploration and mining companies, project owners, and related users to publish project listings for visibility, interest, and discovery, including listings intended to attract financing discussions or acquisition interest.
3. MineLife’s Role and Relationship to Users
MineLife acts solely as a technology platform and facilitator of digital interactions.
MineLife is not:
- a buyer, seller, or reseller of user-listed products or services;
- an employer, staffing agency, recruiter, payroll company, or labor provider;
- a broker, dealer, investment adviser, finder, agent, lender, or financing intermediary;
- an escrow or custodial service for user funds;
- a guarantor of user performance, project validity, delivery obligations, financing outcomes, or transaction completion.
No agency, partnership, joint venture, fiduciary, employment, or similar relationship is created between MineLife and any user by virtue of account creation, subscription, listing publication, messaging, or use of platform features.
All agreements, negotiations, commitments, obligations, representations, performance duties, and disputes remain directly between the relevant users unless MineLife expressly states otherwise in writing.
4. Accounts, Eligibility, and Verification
4.1 Account Accuracy
You must provide accurate, current, and complete information when creating or maintaining an account. You are responsible for promptly updating your information if it changes.
4.2 Account Security
You are responsible for safeguarding your login credentials and for all activity that occurs under your account, unless caused by our own unauthorized actions.
4.3 Eligibility
You may use MineLife only if you have the legal capacity to enter into a binding agreement and your use of the platform is not prohibited by applicable law.
4.4 Verification Requirements
MineLife may require identity verification, business verification, tax information, bank account verification, sanctions screening, know-your-customer review, anti-fraud checks, or other compliance measures before allowing access to certain features, including receiving payouts, selling through the marketplace, or being paid through the Jobs Platform.
4.5 Verification Outcomes
If verification is incomplete, unsuccessful, inconsistent, or later flagged, MineLife may limit features, delay or block payouts, suspend account activity, or require additional documentation.
5. Payments, Processing, and Platform Fees
5.1 Third-Party Payment Processing
Payments made through MineLife are processed by third-party payment providers. By using payment-enabled features, you agree that such providers may apply their own onboarding, verification, compliance, risk review, hold periods, payout rules, and payment processing terms.
MineLife does not itself hold, custody, or maintain user funds. Payment flows, holds, reversals, and disbursements may depend in part on third-party payment infrastructure and the status of your account.
5.2 Platform Revenue Sources
MineLife may earn revenue through one or more of the following:
- subscription fees for Products & Services plans, including Explorer, Trailblazer, and Pioneer;
- transaction-based platform fees on eligible marketplace payments;
- transaction-based platform fees on eligible job-related payments;
- subscription fees for Website Builder plans, including Bold Venture and California Chrome;
- other fees, upgrades, add-ons, promotional placements, listing fees, or paid features disclosed within the platform.
5.3 Automatic Fee Application
Where MineLife charges transaction-based fees, those fees are automatically applied through the platform at the time the underlying payment is processed. Users may not negotiate around MineLife’s platform fees for transactions initiated through the platform.
5.4 Non-Refundable Fees
Except where required by applicable law or expressly approved by MineLife in writing, platform fees and subscription fees are non-refundable once processed or once the subscription period has begun.
5.5 Plan-Based Fee Structures
Certain fee percentages, subscription amounts, and commercial terms vary by plan, service type, or promotional offer. Those details may be displayed in platform pricing pages, checkout flows, onboarding screens, account dashboards, invoices, or related interfaces. Continued use of the relevant feature after accepting applicable pricing constitutes agreement to those charges.
5.6 Chargebacks, Reversals, and Recovery Rights
If a payment is reversed, disputed, refunded, charged back, or later associated with fraud, abuse, policy violations, or unauthorized conduct, MineLife may recover related amounts from you to the extent permitted by law. Recovery methods may include offsetting future payouts, withholding earnings, restricting access to payment-enabled features, or taking other lawful recovery steps.
6. Deposits, Orders, and Transaction Completion
6.1 Deposit Transactions
Some marketplace transactions may be structured in more than one payment step, including an initial deposit followed by a final balance payment. Each payment event is treated separately for processing, recordkeeping, and fee calculation purposes.
6.2 Fee Timing on Deposits and Balances
When a transaction includes both a deposit and a later balance payment, MineLife’s transaction-based fee applies to the amount processed at each step. MineLife does not wait to collect the full transaction fee until final payment if a deposit payment has already been processed.
6.3 Transaction Completion
A transaction is considered complete on MineLife only when the full amount due for that transaction has been paid through the platform, unless MineLife expressly states otherwise within a specific product flow.
6.4 Fulfillment and Delivery Terms
Delivery, shipment, work commencement, service performance, milestone expectations, and related fulfillment terms are determined directly between buyer and seller or between the relevant contracting users. MineLife does not define or enforce custom commercial terms between users unless MineLife explicitly builds a platform rule that applies to the specific transaction type.
6.5 Refunds
Refunds, where applicable, are primarily matters between users. MineLife may facilitate or approve a refund, full or partial, at its discretion, but is not obligated to do so. The fact that MineLife technically can process or assist with a refund does not create a duty to refund any particular payment.
7. Products & Services Marketplace Terms
7.1 Marketplace Function
The Products & Services Marketplace is a user-driven commercial environment in which sellers publish offerings and buyers evaluate, inquire about, and purchase those offerings.
7.2 No Guarantee of Listings
MineLife does not inspect, test, certify, guarantee, or warrant any listed product, service, seller, buyer, description, quantity, quality, condition, delivery estimate, specification, or business claim.
7.3 User Responsibility
Users are solely responsible for their own due diligence, technical review, commercial judgment, contract negotiation, compliance obligations, shipping arrangements, and transaction decisions.
7.4 Listing Accuracy
Sellers are responsible for ensuring that their listings, descriptions, images, specifications, pricing, delivery commitments, and related representations are accurate and not misleading.
8. Jobs Platform and Professional Engagement Terms
8.1 Platform Scope
The Jobs Platform allows users to identify and enter into work opportunities and professional relationships, including full-time roles, consulting arrangements, contract work, temporary roles, trainee roles, graduate positions, internships, and similar engagement types.
8.2 No Employment Relationship with MineLife
MineLife is not the employer of job posters, job applicants, consultants, contractors, interns, volunteers, or any other platform user. MineLife does not supervise work, manage schedules, provide employment benefits, or assume employer obligations merely because a hiring relationship was initiated through the platform.
8.3 Classification and Compliance Responsibility
Users are solely responsible for worker classification, legal compliance, payroll treatment, tax withholding, independent contractor status, licensing, immigration compliance, anti-discrimination compliance, workplace safety obligations, and all other employment or labor-related responsibilities arising from their use of the Jobs Platform.
8.4 No Guarantee of Work or Payment Outcome
MineLife does not guarantee job placement, candidate quality, work performance, payment collectability, project success, or any particular professional outcome.
9. Website Builder Terms
9.1 Subscription Service
The Website Builder is a subscription-based digital publishing and hosting service that enables users and companies to maintain a web presence through MineLife-supported infrastructure.
9.2 Plans
Website Builder plans may include offerings such as Bold Venture and California Chrome, along with any related upgrades, add-ons, support features, promotional bundles, or future plan revisions.
9.3 Scope of Service
Website Builder services may include hosted pages, publishing tools, profile presentation, project display capabilities, company information pages, support features, and related digital functionality as described within the platform at the time of purchase or renewal.
9.4 No Transaction Guarantee
Purchase of a Website Builder plan does not guarantee user traffic, project financing, sales, investor contact, search ranking, lead generation, media visibility, or business outcomes.
9.5 Subscription Billing
Website Builder subscriptions are billed according to the plan selected by the user and renew, if applicable, under the billing terms presented at checkout or in the account interface. Subscription fees are separate from marketplace transaction fees and job-related platform fees.
10. Project Listings and Investor Discovery Terms
10.1 Informational and Discovery-Only Service
MineLife’s project listing features are intended to allow project owners, companies, and related users to present information about exploration or mining projects to interested parties. These features are informational and discovery-oriented only.
10.2 No Brokerage or Financing Role
MineLife does not act as a broker, finder, dealer, financing intermediary, underwriter, or investment adviser in connection with project listings. MineLife does not arrange financing, guarantee investment, negotiate project sales, or act as an intermediary in project acquisition transactions.
10.3 No Verification of Project Validity
MineLife does not independently verify ownership, title, geological claims, technical merit, project economics, permitting status, regulatory standing, asset value, or the truthfulness of project-related statements made by users.
10.4 Off-Platform Deal Completion
Any project sale, financing discussion, investment arrangement, partnership, earn-in, acquisition, or related commercial outcome resulting from a project listing occurs off-platform and entirely at the users’ own risk.
11. Referral Programs, Credits, and Network Earnings
MineLife may offer referral programs, promotional credits, incentive systems, or Network Earnings programs from time to time.
These programs are governed by separate terms, eligibility rules, and program-specific conditions. Nothing in this User Agreement creates a right to receive credits, cash earnings, renewals, referral benefits, or withdrawals except as expressly provided in the separate terms applicable to the specific program.
MineLife may modify, suspend, deny, reverse, withhold, or terminate any referral or incentive program, in whole or in part, as permitted by the applicable separate terms or by law.
12. Anti-Circumvention and Off-Platform Transactions
If users first connect, discover one another, negotiate, or initiate a commercial relationship through MineLife, MineLife may treat that relationship as originating on the platform.
Users may not intentionally move a transaction off-platform for the purpose of avoiding fees, bypassing platform rules, reducing MineLife’s economic participation, or defeating recordkeeping and payment protections associated with platform use.
Where permitted by law, MineLife remains entitled to applicable fees for transactions or engagements that originated through the platform even if users later attempt to complete or continue them elsewhere in violation of this Agreement.
13. Communications, Messaging, and Platform Records
MineLife may provide on-platform messaging, contact tools, communication relays, email notifications, SMS notifications, receipts, order notices, dispute-related communications, onboarding notices, and other operational communications.
You agree that MineLife may store, review, and use platform-related communications and transactional records for customer support, compliance review, fraud prevention, dispute investigation, enforcement, analytics, product improvement, legal response, and platform administration.
You should not use MineLife communications channels to share information that you are not authorized to disclose. MineLife does not guarantee confidentiality of business-sensitive content shared between users.
14. Fraud, Risk Controls, and Enforcement Rights
MineLife may, at its sole discretion and without prior notice where appropriate, investigate conduct, restrict access, remove content, suspend features, delay payouts, freeze earnings, hold transactions, terminate accounts, or take other protective action where we believe it is necessary to address:
- suspected fraud, abuse, or misrepresentation;
- chargeback or payment risk;
- legal, sanctions, or regulatory compliance concerns;
- violations of this Agreement or related policies;
- security threats, impersonation, or platform misuse;
- behavior that could harm MineLife, its users, or the integrity of the platform.
MineLife may also cooperate with payment providers, law enforcement, courts, regulators, or other lawful authorities as required or permitted by law.
15. User Content and Platform License
15.1 Ownership
Users retain ownership of the content they submit, upload, publish, or otherwise make available through MineLife, subject to the rights granted in this Agreement.
15.2 License to MineLife
By posting content to MineLife, you grant MineLife a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, distribute, adapt for formatting, promote, and otherwise use that content as reasonably necessary to operate, market, improve, and provide the platform and related services.
15.3 Public Visibility
Some content published through MineLife may be publicly visible and may be indexed, copied, cached, or displayed by search engines and third-party services. MineLife does not control how outside parties index or display publicly accessible content after publication.
16. Prohibited Uses
You may not use MineLife to:
- post false, fraudulent, deceptive, or misleading information;
- impersonate another person or entity, or misrepresent affiliation or authority;
- engage in illegal conduct, sanctions violations, money laundering, or other prohibited activity;
- scrape, harvest, extract, or misuse data through bots, automated tools, or unauthorized manual methods;
- bypass or undermine payment flows, access controls, security protections, or commercial rules;
- upload malicious code, harmful files, or content designed to disrupt the platform;
- use MineLife in a manner that infringes the rights of others or violates applicable law.
17. Disclaimers of Warranties
MineLife is provided on an “as is” and “as available” basis.
To the maximum extent permitted by law, MineLife disclaims all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted availability, or error-free operation.
MineLife does not warrant that the platform will always be available, secure, timely, accurate, complete, or free from bugs, delays, interruptions, unauthorized access, data loss, or external service dependency failures.
18. Limitation of Liability
To the maximum extent permitted by law, MineLife shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, opportunity, anticipated savings, data, business, or reputation arising out of or related to your use of MineLife.
MineLife is not responsible for disputes between users, failed transactions, project outcomes, financing failures, business losses, user misconduct, shipment problems, work performance issues, third-party platform outages, or acts or omissions of payment providers or other external service providers.
Where liability cannot be fully excluded, MineLife’s total aggregate liability to you for claims arising out of or relating to this Agreement or the platform shall be limited to the greater of: (a) the total amount of fees you paid directly to MineLife in the three months preceding the event giving rise to the claim; or (b) US$100.
19. Indemnification
You agree to defend, indemnify, and hold harmless MineLife, its affiliates, officers, directors, employees, contractors, and representatives from and against claims, demands, actions, liabilities, losses, damages, judgments, settlements, costs, and expenses, including reasonable legal fees, arising out of or related to:
- your use of the platform;
- your content, listings, communications, or representations;
- your transactions, hiring relationships, subscriptions, or project-related activity;
- your violation of this Agreement, related policies, or applicable law;
- your infringement of third-party rights.
20. Dispute Resolution and Arbitration
20.1 Informal Resolution First
Before initiating formal legal action or arbitration, you agree to first contact MineLife and attempt in good faith to resolve the dispute informally for at least 30 days, unless emergency injunctive relief is reasonably necessary.
20.2 Binding Arbitration
Except where prohibited by applicable law or where non-waivable rights require a different process, disputes arising out of or relating to this Agreement or your use of MineLife shall be resolved through binding arbitration rather than in court.
20.3 Arbitration Provider
Arbitration may be administered by AAA, JAMS, The McCammon Group, or another reputable arbitration provider selected by MineLife, unless applicable law requires otherwise or the parties mutually agree to a different provider.
20.4 Class Action Waiver
To the extent permitted by law, you agree to resolve disputes only on an individual basis and waive any right to participate in a class, collective, coordinated, or representative action.
20.5 Jury Trial Waiver
To the extent a dispute is permitted to proceed in court, both you and MineLife waive the right to a jury trial.
20.6 Time Limit on Claims
To the extent permitted by law, any claim arising out of or relating to MineLife must be brought within one year after the events giving rise to the claim occurred, or such claim is permanently barred.
21. Governing Law
This Agreement is governed by the laws of the State of Delaware, without regard to conflict of law principles, except to the extent that non-waivable local law requires otherwise.
22. International Use, Including Canada
MineLife may make certain services available in more than one jurisdiction, including the United States and Canada. Transaction currencies and payout structures may vary by jurisdiction and payment availability.
You are responsible for compliance with all laws, regulations, tax obligations, licensing requirements, and local rules applicable to your location, business, transactions, hiring relationships, and project-related activity.
Nothing in this Agreement limits any rights that cannot be waived under applicable law, including non-waivable consumer protection, employment, privacy, or similar statutory rights where they apply.
MineLife may limit, block, or modify access to platform services in any jurisdiction where use is restricted, commercially unavailable, sanction-limited, or operationally unsupported.
23. Changes to This Agreement
MineLife may revise this User Agreement from time to time. When we do, we may update the “Last Updated” date and, where appropriate, provide additional notice through the platform, email, or other reasonable means.
Your continued use of MineLife after an updated version becomes effective constitutes acceptance of the revised Agreement.
24. General Legal Terms
If any provision of this Agreement is found unenforceable, the remaining provisions will remain in full force to the maximum extent permitted by law.
MineLife may assign or transfer this Agreement, in whole or in part, including in connection with a merger, acquisition, reorganization, or sale of assets. You may not assign your rights or obligations under this Agreement without MineLife’s prior written consent.
This Agreement, together with any policies, separate program terms, payment-provider terms accepted through required flows, and additional service-specific terms referenced on the platform, constitutes the entire agreement between you and MineLife regarding the subject matter it covers.
MineLife’s failure to enforce any provision of this Agreement is not a waiver of that provision or of any other rights.
You agree that this Agreement may be accepted electronically and that electronic records, disclosures, notices, and communications satisfy any legal requirement that such communications be in writing.
